Welcome to PingChat: LiveStream. Next, we will introduce you to the PingChat: LiveStream agreement. In order to fully understand your rights and interests, we hope you can read it carefully.

This Agreement is signed between you and the owner and operator of INFINITE ETERNITY PTE. LTD. PingChat: LiveStream does not allow offensive content or insults to users. Please read and understand this Agreement carefully. If you do not agree to this Agreement, you may not be able to use PingChat: LiveStream normally.

These Terms of Service apply to all users of the PingChat: LiveStream Service. The presence information provided by PingChat: LiveStream may contain links to third-party websites that are not owned or controlled by PingChat: LiveStream. PingChat: LiveStream is not responsible for the content, privacy policies, or practices of any third-party websites. Furthermore, PingChat: LiveStream does not review or edit the content of any third-party websites. By using the Service, you expressly acknowledge and agree that PingChat: LiveStream is not responsible for any damages, claims, or other liabilities arising out of or related to your use of any third-party websites.

1. Before you read the Terms of Service, please read the following agreement carefully.

  1. Your use of this agreement is limited to personal, non-commercial purposes.
  2. Without the prior written authorization of PingChat: LiveStream, you may not copy, transfer, authorize access to, plagiarize, or do anything that may harm PingChat: LiveStream.
  3. You may not attempt to reverse engineer or tamper with any part of this agreement.
  4. You must ensure that you comply with the terms and conditions of the above agreement.

2. Account Access and Security

To access and utilize the Service's features, you acknowledge and agree that you must provide PingChat: LiveStream with your phone number or other login credentials, as well as the corresponding credentials of the third party with whom you intend to use the Service. You hereby expressly consent to PingChat: LiveStream using the credentials you provide to grant you access to and enable your use of the Service.

You must not use another person's phone number or login credentials without their explicit permission. You are solely responsible for the information displayed in association with your credentials. In the event of any security breach or unauthorized use of your phone or credentials, you must notify PingChat: LiveStream immediately.

While PingChat: LiveStream is not liable for losses you incur due to unauthorized account use, you may be held liable for, and agree to indemnify PingChat: LiveStream against, any losses incurred by PingChat: LiveStream or others resulting from such unauthorized use.

Intellectual Property Rights

Subject to your compliance with these Terms of Service, PingChat: LiveStream grants you a personal, non-exclusive, non-transferable, revocable, and limited license to install and use the PingChat: LiveStream client software and associated content ("Client and Content") solely for your personal, non-commercial purposes in connection with the Service. The Service (including the Client and Content) is provided to you 'as is' solely for your informational and personal, non-commercial use. PingChat: LiveStream reserves all rights not expressly granted herein concerning the Service, Client, and Content.

You agree not to use, copy, distribute, or otherwise exploit the Client and Content in any manner except as expressly permitted by the Service. This expressly prohibits, without limitation, using any user status submissions obtained through the Service for commercial purposes. You further agree not to use the Client and Content in any manner that infringes upon or violates the rights of any third party. PingChat: LiveStream shall have no liability to you for any such unauthorized or infringing use.

User Status Submissions

Ownership and Confidentiality:

The PingChat: LiveStream Service enables you and other users to submit status text and other messages ("User Status Submissions" or "Submissions"), and to host, share, and/or publish such Submissions. You retain ownership of your User Status Submissions, subject to the licenses granted below. You acknowledge that PingChat: LiveStream does not guarantee confidentiality for any Submissions, whether published or not.

Your Responsibility and Representations:

You are solely responsible for your User Status Submissions and the consequences of their publication.

PingChat: LiveStream acts as a platform for data storage. User Status Submissions do not represent the views or opinions of PingChat: LiveStream, and PingChat: LiveStream does not warrant the truthfulness, accuracy, or validity of any User Status Submissions.

In connection with your User Status Submissions, you affirm, represent, and warrant that:

  1. You possess all necessary licenses, rights, consents, and permissions to use any patent, trademark, trade secret, copyright, or other proprietary rights contained within the Submission, and to grant PingChat: LiveStream the rights to use and exercise such rights as contemplated by the Service and these Terms of Service.
  2. You have obtained the written consent, release, and/or permission of each identifiable individual featured in your User Status Submissions to use their name and likeness, and to grant PingChat: LiveStream the rights to use and exercise such rights as contemplated by the Service and these Terms of Service.
License Granted to PingChat: LiveStream:

By submitting User Status Submissions to PingChat: LiveStream, you grant PingChat: LiveStream a worldwide, non-exclusive, royalty-free, sub-licensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Status Submissions in connection with:

  1. the operation and provision of the PingChat: LiveStream Services; and
  2. the business of PingChat: LiveStream (and its successors).

This license expressly includes the right for PingChat: LiveStream to promote and redistribute all or part of the Service (and its derivative works) in any media formats and through any media channels.

This license terminates when you remove or delete your User Status Submissions from the PingChat: LiveStream Service.

License Granted to Other Users:

By submitting User Status Submissions, you also grant each user of the PingChat: LiveStream Services a non-exclusive license to access your User Status Submissions via the Services, email, and mobile devices, and to view portions of your Submissions in accordance with the Service's functionality and these Terms of Service.

3. Platform Disclaimers and Rights

No Endorsement or Liability:

PingChat: LiveStream does not endorse any User Status Submission or any opinion, recommendation, or advice expressed therein, and expressly disclaims all liability arising from or related to User Status Submissions.

Intellectual Property Infringement:

PingChat: LiveStream does not permit copyright or other intellectual property infringement through its services. It will remove content and User Status Submissions upon receiving a valid notification that such material infringes the intellectual property rights of others. PingChat: LiveStream reserves the right to remove such content without prior notice.

Termination for Infringement or Harassment:

PingChat: LiveStream may terminate a user's access to the Service if the user is determined to be a repeat infringer or engages in harassment. A "repeat infringer" is a user who has received multiple valid notices of infringement and/or whose User Status Submissions have been removed for infringement more than twice. A "harasser" is any user determined to be engaging in harassment (whether intentional or not) by PingChat: LiveStream in its sole discretion.

Content Moderation Rights:

PingChat: LiveStream reserves the right, in its sole discretion, to:

  1. Determine whether content or User Status Submissions comply with these Terms of Service, including compliance regarding matters other than intellectual property infringement (e.g., but not limited to, violations related to content appropriateness, excessive length, or relevance).
  2. Remove non-compliant User Status Submissions and/or terminate the access of users who violate these Terms of Service.
  3. Exercise these rights at any time and without prior notice.

4. Prohibited Activities Regarding User Status Submissions

You further agree that you will not submit User Status Submissions that:

  1. Infringe Intellectual Property or Privacy: Material protected by copyright, trade secret, or other third-party proprietary rights (including privacy and publicity rights), unless you are the owner or have explicit permission from the rightful owner to post the material and to grant PingChat: LiveStream all license rights specified herein.
  2. Contain False or Damaging Statements: Falsehoods or misrepresentations that could damage PingChat: LiveStream or any third party.
  3. Are Illegal or Harmful: Material that is unlawful, obscene, defamatory, libelous, threatening, harassing, hateful, racially or ethnically offensive, or that encourages conduct constituting a criminal offense, giving rise to civil liability, violating any law, or is otherwise inappropriate.
  4. Constitute Advertising or Solicitation: Advertisements or solicitations of business.
  5. Impersonate Others: Impersonate another person or entity.
  6. Contain Malicious Code: Material containing software viruses, worms, Trojan horses, or other harmful code, files, scripts, agents, or programs.
  7. Disrupt Service Integrity: Interfere with or disrupt the integrity or performance of the Service or its data.
  8. Attempt Unauthorized Access: Attempt to gain unauthorized access to the Service, its related systems, or networks.

5. Linking and Service Termination

PingChat: LiveStream permits you to link to materials on the Service solely for personal, non-commercial purposes. Commercial use requires separate licenses and terms. PingChat: LiveStream reserves the right to terminate any aspect of the Service at any time without notice.

Disclaimer of Warranties

You acknowledge that your use of the Service is at your sole risk. To the maximum extent permitted by law, PingChat: LiveStream, its officers, directors, employees, and agents hereby disclaim all warranties (express or implied) in connection with the Service and your use thereof. PingChat: LiveStream makes no warranties or representations regarding the accuracy or completeness of Service content and expressly disclaims liability for:

  1. Errors, mistakes, or inaccuracies in any content;
  2. Any personal injury or property damage arising from your access to or use of the Service;
  3. Unauthorized access to our servers or compromise of stored personal/financial information;
  4. Interruptions in transmission to or from the Service;
  5. Bugs, viruses, Trojan horses, or similar harmful code transmitted via the Service by third parties;
  6. Loss or damage incurred through the use of content posted or transmitted through the Service.
Third-Party Services Disclaimer:

PingChat: LiveStream DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE:

  1. Advertised by third parties through the Service;
  2. Offered on hyperlinked websites; or
  3. Featured in User Status Submissions or other advertising.

PingChat: LiveStream IS NOT A PARTY TO, NOR DOES IT MONITOR, ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS. YOU ACKNOWLEDGE THAT ALL SUCH TRANSACTIONS ARE CONDUCTED AT YOUR OWN RISK, AND YOU SHOULD EXERCISE CAUTION AND JUDGMENT WHEN ENGAGING IN THEM.

Limitation of Liability

IN NO EVENT SHALL PINGCHAT: LIVESTREAM, ITS EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM:

  1. Content errors, mistakes, or inaccuracies;
  2. Personal injury or property damage resulting from Service access or use;
  3. Unauthorized access to secure servers or compromise of stored personal/financial information;
  4. Interruption or cessation of transmission;
  5. Transmission of harmful code by third parties through the Service;
  6. Loss or damage from use of content made available via the Service;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This limitation applies to the fullest extent permitted by applicable law.

User Conduct and Risk Acknowledgement

You expressly acknowledge that PingChat: LiveStream is not responsible for:

  1. User Submissions; or
  2. Defamatory, offensive, or illegal conduct by third parties.

The entire risk of injury or damage from the foregoing rests solely with you.

Prohibited Use Scenarios:

You agree not to use the Service:

  • While operating any vehicle or machinery;
  • During time-critical or emergency operations;
  • In any circumstance where failure could result in death, personal injury, or significant financial loss.

6. User Acknowledgement and Release

You expressly acknowledge and understand that:

  1. Use of the PingChat: LiveStream Service exposes you to User Status Submissions from diverse third-party sources;
  2. PingChat: LiveStream assumes no responsibility for:
    • The accuracy, usefulness, or safety of such Submissions;
    • Any intellectual property rights relating thereto;
  3. You may encounter Submissions that are inaccurate, offensive, indecent, or otherwise objectionable.

Waiver and Indemnity

In consideration of the Service provided, you hereby:

  1. WAIVE any legal or equitable claims or remedies (existing or future) against PingChat: LiveStream arising from exposure to such Submissions;
  2. AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS PingChat: LiveStream, its owners, operators, affiliates, and licensors from all claims, damages, liabilities, costs, and expenses (including legal fees) related to your use of the Service, to the fullest extent permitted by applicable law.

Geographic Availability Disclaimer

PingChat: LiveStream makes no representation regarding the appropriateness or availability of the Service in all locations. Users accessing the Service from jurisdictions where it is not expressly authorized do so at their sole discretion and assume full responsibility for compliance with applicable local laws.

Indemnification

You agree to defend, indemnify, and hold harmless PingChat: LiveStream, its parent entity, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs (including legal fees), and expenses arising from:

  1. Your access to or use of the Service;
  2. Your breach of these Terms of Service;
  3. Your infringement of any third-party rights (including intellectual property, privacy, or publicity rights);
  4. Claims that your User Status Submissions caused harm to third parties.

This indemnification obligation survives termination of these Terms and cessation of Service use.

Prohibited Conduct Statement

PingChat: LiveStream does not endorse or condone illegal consumption of alcohol or tobacco.

Assignment

Your Restrictions:

Under no circumstances may you transfer or assign any rights or licenses granted under these Terms.

Rights:

PingChat: LiveStream reserves the right to transfer or assign these Terms, in whole or in part, at its sole discretion without restriction or consent.

General Provisions

1. Jurisdictional Limitations

You acknowledge that:

  1. The PingChat: LiveStream Service operates as passive digital infrastructure;
  2. No personal jurisdiction (specific or general) shall attach to PingChat: LiveStream within Singapore.

2. Governing Law and Dispute Resolution

  1. Exclusive Jurisdiction: Any legal dispute arising from these Terms shall be submitted to the competent courts of Singapore;
  2. Governing Law: These Terms shall be construed under Singapore's substantive laws, excluding conflict-of-law principles;
  3. Scope: All claims related to the Service (wholly or partially) fall under Singapore's exclusive jurisdiction.

3. Entire Agreement and Severability

  1. The Privacy Policy and legal notices constitute the complete and exclusive agreement between parties regarding the Service;
  2. If any provision is held invalid by a competent court:
    • Such invalidity shall not affect surviving provisions;
    • Remaining terms retain full legal force.

4. Waiver

  1. PingChat: LiveStream's failure to enforce any right/provision does not constitute waiver;
  2. Single/partial waiver of a term shall not imply continuing waiver of that or other terms.

5. Amendment Right

PingChat: LiveStream reserves the right to unilaterally modify these Terms at any time. Your continued use after revision constitutes binding acceptance of updated terms.

6. Limitation of Actions

Any cause of action relating to the Service must be filed within one year after accrual. Claims not timely filed are permanently extinguished.

Copyright Infringement Procedures

1. Reporting Claims

PingChat: LiveStream respects intellectual property rights and requires users to do the same. To submit a copyright infringement claim, provide written notification containing:

  • Signature: Electronic/physical signature of rights holder or authorized agent;
  • Work Identification: Description of the infringed work;
  • Infringement Location: Specific URL(s) of allegedly infringing material;
  • Contact Information: Your address, phone number, and email;
  • Good Faith Statement: Declaration that disputed use lacks authorization;
  • Accuracy Attestation: Statement under penalty of perjury confirming ownership/authority.

2. Counter-Notification Process

If content was removed erroneously, submit written counter-notice containing:

  • Signature: Your physical/electronic signature;
  • Content Identification: Description and original location of removed content;
  • Good Faith Basis: Statement that removal resulted from mistake/misidentification;
  • Contact & Jurisdiction: Your contact details + consent to Singapore court jurisdiction;
  • Service Acceptance: Agreement to accept legal process from claimant.

3. Action Timeline

Upon counter-notice receipt:

  • PingChat: LiveStream will forward it to original claimant within 10 business days;
  • Removed content may be restored within 10-14 business days unless:
    • Copyright owner obtains court order against the user.

Restoration decisions remain at PingChat: LiveStream's sole discretion.

Legal Compliance Framework

All claims will be processed under:

  • Digital Millennium Copyright Act (DMCA);
  • Applicable intellectual property laws.
